Churchill Capital Corp XIII has filed for an initial public offering.

The special-purpose acquisition company said it will sell 30 million units at $10 apiece, according to a filing with the Securities and Exchange Commission on Wednesday.

Each unit consists of one Class A ordinary share and one-tenth of one warrant. Each whole warrant can be used to purchase one Class A ordinary share at $11.50 apiece, the company said.

The company has also granted underwriters a 45-day option to purchase up to an additional 4.5 million units to cover over-allotments. Citigroup is listed as the offering's underwriter.

The company additionally said that a sponsor has committed to purchase 350,000 private placement units at $10 per unit for an aggregate price of $3.5 million, including if the underwriters' over-allotment option is exercised in full.

The private placement is expected to close simultaneously with the closing of the IPO.

The company said it will receive gross proceeds of $303.5 million from the offering, or about $348.5 million if the over-allotment option is exercised. Both figures include proceeds from the private placement.

The Cayman Islands blank-check company said it expects to focus on acquiring a business in an industry where its management team and founder's expertise will provide a competitive advantage. The company's founder and operating partners have worked at companies across multiple sectors and industries, including consumer, industrial, materials, energy, mining, chemicals, finance, data, software, enterprise technology and media.

The company intends to apply to have its units listed on the Nasdaq Global Market under the ticker XIIIU. It expects its shares and warrants will be listed under the symbols XIII and XIIIW once the securities comprising the units begin separate trading.
