Re/Max Holdings swung to a loss and reported lower revenue in the second quarter ahead of its acquisition by The Real Brokerage.

The real estate company, which The Real Brokerage is set to acquire later this year, reported a second-quarter loss of $4.3 million, or 20 cents a share. That compares with a profit of $4.7 million, or 23 cents a share, a year earlier.

Stripping out certain one-time items, adjusted earnings were 32 cents a share.

Revenue fell to $68.5 million from $72.8 million. Excluding Re/Max's marketing funds, revenue fell 5.1% to $51.7 million.

The company reported a 1.5% increase in total agent count to 149,267, but said agents in the U.S. and Canada fell 2.2% to 72,968.

The company said in May that it would not hold quarterly earnings calls or issue guidance while the merger with Real is pending.
