Gores Holdings XII Files for $312M IPO

Blank-check company Gores Holdings XII plans to offer 31.2 million units at $10 each in its initial public offering.

Each unit consists of one share and one-fourth of a warrant to buy a share at $11.50, according to a Monday filing with the Securities and Exchange Commission.

The underwriter for the offering has a 45-day option to buy up to 4.68 million additional units to cover any over-allotments, according to the filing.

The company said it hasn't yet selected or initiated discussions with any business combination target, and it may look for businesses in any sector but will focus on those that could benefit from its operational expertise.

The company plans to list its shares on the Nasdaq Global market under the symbol GDOZ.
