LightPath Fiscal Q4 2026 Earnings: Product Mix Lifts Gross Margin to 39.4%

LightPath Technologies (NASDAQ: LPTH) reported fiscal Q4 2026 revenue of $21.2 million, up 73.8% from $12.2 million, while diluted EPS improved to a loss of $0.06 from a loss of $0.16. Gross margin rose to 39.4%, and adjusted EBITDA turned positive at $2.1 million as higher-margin assemblies and modules became a larger part of the business. The quarter ended June 30, 2026, and the results were released on September 10, 2026.

Core Financial Results

Revenue growth was broad-based across all four product groups, with assemblies and modules contributing the largest dollar increase. Gross profit grew faster than revenue because of favorable product mix, improved absorption from higher production volume, and the absence of approximately $0.5 million in inventory reserve charges recorded a year earlier.

GAAP profitability also improved, but the company remained loss-making. Operating expenses increased 75%, including a higher non-cash adjustment to acquisition earnout liabilities and additional costs associated with AML, personnel, sales, marketing, and customer security requirements.

The improvement in net loss also reflected the absence of the $2.2 million non-cash warrant liability charge recorded in the prior-year quarter.

Business and Product Group Performance

Assemblies and modules remained the main growth driver, more than doubling as LightPath delivered G5 Infrared cameras and modules, including products for a large global technology customer. The other product groups also reported higher revenue, although engineering services remained a relatively small contributor.

Infrared component growth included $1.1 million in infrared materials revenue from AML, which LightPath acquired in January 2026. Higher shipments to defense and industrial customers in the United States and Europe provided additional support.

Visible component revenue benefited from sales to U.S. defense customers and distributors, along with industrial customers in Europe and Asia. Engineering services increased because of higher revenue recognition under Visimid Technologies’ Lockheed Martin contract, although the timing and value of that contract’s deliverables can vary between quarters.

The order backlog reached a record $110.9 million at June 30, up 197% from $37.4 million a year earlier. Approximately $85.6 million, or about 77% of the backlog, was requested by customers for delivery within the following 12 months. The company also disclosed an $11 million follow-on infrared camera order for counter-unmanned aircraft system applications and $13 million in follow-on optical assembly orders from a counter-UAS and defense systems supplier.

Product Mix Expanded Margins, but Acquisition Costs Kept GAAP Earnings Negative

The quarter’s central financial development was the widening gap between operating improvement and reported GAAP profitability. Gross profit increased by approximately $5.7 million, but operating expenses rose by roughly $5.4 million, leaving the operating loss only modestly lower at $4.3 million.

Acquisition accounting was a major part of that difference. LightPath recorded $3.4 million of non-cash expense from the change in fair value of acquisition earnout liabilities, compared with $1.4 million a year earlier. The increase was primarily associated with G5 Infrared’s performance against its earnout targets. The final G5 earnout was accrued during the quarter and is scheduled for payment in January 2027.

Adjusted EBITDA excludes this earnout remeasurement, along with stock-based compensation and certain other items. EBITDA was a loss of $3.0 million, but adjusted EBITDA was positive at $2.1 million after adjustments that included $3.4 million in acquisition liability remeasurement and $1.6 million in stock-based compensation. This was LightPath’s fourth consecutive quarter of positive adjusted EBITDA, but the continuing GAAP loss shows that the broader expense base remains material.

For full fiscal 2026, the same divergence was visible: adjusted EBITDA improved to $4.2 million from a $5.1 million loss, while the GAAP net loss widened to $20.5 million from $14.9 million. Full-year earnout fair-value expense increased to $15.6 million from $1.6 million.

Cash Flow, Liquidity, and the Balance Sheet

LightPath ended the fiscal year with $93.2 million in cash and cash equivalents, compared with $4.9 million one year earlier. The increase was driven by financing rather than operating cash generation: fiscal 2026 net cash provided by financing activities was $111.0 million, including $112.3 million in net proceeds from public equity placements and $7.9 million from a private equity placement, partly offset by earnout and debt payments.

The company used $10.2 million of operating cash during fiscal 2026, versus $8.3 million in fiscal 2025. Investing cash outflow was $12.8 million, including $6.3 million of capital expenditures and $7.0 million for the AML acquisition.

Working capital expanded as the business grew. Accounts receivable increased to $15.1 million from $9.5 million, while inventory rose to $18.0 million from $12.9 million. Loans payable fell to approximately $0.2 million from $5.0 million, supporting management’s description of the balance sheet as low leverage.

The equity financing strengthened liquidity but also increased the share count. Common shares outstanding rose to approximately 70.0 million at June 30, 2026, from 42.9 million a year earlier, reflecting public and private offerings, warrant exercises, and the conversion of Series G preferred stock.

Management’s Perspective

Management attributed the margin improvement mainly to product mix and higher manufacturing throughput rather than price increases. It also said the manufacturing yield problems that pressured component margins in fiscal 2025 had been resolved.

For fiscal 2027, management’s operational focus is capacity expansion and backlog conversion. LightPath is adding glass-melting capacity in Orlando and Texas, increasing optical and assembly capacity at its U.S. and Latvian facilities, and working to redesign G5 Infrared’s cooled-camera family around BlackDiamond glass.

Management also believes U.S. defense policy aimed at reducing reliance on optical glass and systems from covered nations is accelerating customer qualification decisions. The statutory implementation deadline is January 1, 2030, but management noted that supplier qualification cycles can take two to three years.

LightPath has also signed a definitive agreement to sell its China subsidiary and manufacturing operations for $4.5 million, payable in installments over five years. The transaction is intended to complete the company’s move to a Western-aligned manufacturing footprint.
