Wai Chun Bio-Technology Limited (660) Updates Capital Reorganisation Schedule and Long Stop Dates

Wai Chun Bio-Technology Limited (Stock Code: 660) announced an update to its expected timetable for the proposed capital reorganisation and connected transaction. The effective date is now anticipated to be 14 November 2025 rather than 28 October 2025, subject to the final registration of the Grand Court’s order and relevant documentation in the Cayman Islands. Dealings in the New Ordinary Shares are expected to commence on the same date.

According to the revised timeline, the Extraordinary General Meeting (EGM) remains scheduled for 30 June 2025, with the record date for attending and voting on the same day. Completion of the capital reorganisation will depend on fulfillment of the necessary conditions precedent, and any further updates will be announced by Wai Chun Bio-Technology Limited if required.

In parallel, Wai Chun Bio-Technology Limited confirmed the extension of the Long Stop Date associated with the proposed alteration to existing convertible bonds, moving it from 31 October 2025 to 30 November 2025. Similarly, the Long Stop Date under the Subscription Agreement has also been extended to 30 November 2025, subject to mutual agreement between the company and the relevant bondholder. Completion of the Subscription remains contingent on meeting all conditions precedent, and Wai Chun Bio-Technology Limited advises shareholders and investors to exercise caution when dealing in the company’s securities.
