CATL (3750) Proposes 2026 A Share Employee Stock Ownership Plan

Contemporary Amperex Technology Co., Limited (Stock Code: 3750) announced its proposal for the 2026 A Share Employee Stock Ownership Plan, subject to approval at the general meeting. The proposal was passed at the Board’s 13th meeting of the fourth session on February 9, 2026.

The proposed plan aims to enhance corporate governance, align the interests of shareholders and the core team, and retain key talent. Eligible participants include mid-level management and core backbone personnel totaling 4,956 individuals for the initial grant, with additional employees potentially added under a reserved portion. Directors, senior management, and major shareholders above 5% are not included.

Up to 4,046,802 A Shares (approximately 0.09% of CATL’s total share capital of 4,563,858,928 Shares) may be allocated through the Company’s repurchase account. The transfer price under the plan is set at RMB183.64 per share, benchmarked against 50% of the average trading prices of the preceding trading day or preceding 20 trading days before the plan announcement date.

The plan’s total duration is 60 months, with a three-stage unlocking schedule after 12, 24, and 36 months, respectively. Each unlocking stage is linked to personnel performance assessments, which determine individual unlocking percentages. Holders’ shares are locked up and may not be transferred, pledged, or otherwise disposed of unless certain conditions are met.

A general meeting will be convened to seek approval for the plan, the relevant management measures, and the authorization of the Board to handle specific implementation details. The plan is categorized as a share scheme subject to Chapter 17 of the Listing Rules but does not involve issuance of new shares. A circular with further information is expected to be dispatched in due course.
