According to an announcement from EPI (Holdings) Limited (Stock Code: 689), a Special General Meeting (SGM) will be held on Friday, 6 March 2026, at 10:00 a.m. at Plaza 3, Basement 3, Novotel Century Hong Kong. Shareholders will be asked to consider and vote on an ordinary resolution related to a proposed rights issue, subject to certain conditions. The register of members will be closed from Monday, 2 March 2026 to Friday, 6 March 2026 (both days inclusive) for determining Shareholders’ entitlement to attend the SGM.
The proposed rights issue involves issuing up to 1.24 billion new shares—rounded from 1,238,487,808—at a subscription price of HK$0.16 per Rights Share, on the basis of two Rights Shares for every one Share held on Wednesday, 18 March 2026 (or a date determined by the company). The arrangements exclude Shareholders whose addresses lie outside Hong Kong if offering the Rights Shares to them would breach local legal or regulatory requirements. GLAM Capital Limited will underwrite the offering on a best-effort basis. The board of EPI (Holdings) Limited encourages eligible Shareholders to review the conditions in full and return proxy forms, if necessary, ahead of the SGM date.
