长虹佳华（03991）与要约人虹图投资有限公司3月24日联合披露，关于以计划安排方式将长虹佳华私有化并撤销在港上市地位的交易，本月继续推进先决条件的落实。
公告显示，私有化及计划安排须取得四项境外直接投资相关审批。先决条件(a)——获得绵阳市国资委批准已于2025年12月24日达成；先决条件(b)及(c)涉及四川省发展和改革委员会、四川省商务厅的审批，目前两部门仍在审查提交的材料，虹图投资正准备回应其最新查询。
由于四川省发改委和四川省商务厅的批文为申请国家外汇管理局（先决条件(d)）许可的前置条件，虹图投资尚未向国家外汇管理局或其地方主管部门递交相关申请。
公司和要约人表示，将继续积极推进余下审批流程，并在取得全部必要批文及寄发计划文件后，按照《公司收购及合并守则》发布进一步公告。普通股股东及潜在投资者在有关建议尚未落实前应保持审慎。
