Tianjin Capital Environmental Protection Group (1065) Announces Connected Transaction for Xianyang Road Sewage Plant Relocation

Tianjin Capital Environmental Protection Group Company Limited (Stock Code: 1065) has approved an engineering consultation service agreement with Tianjin Infrastructure Consultant for the Phase II relocation of the Xianyang Road Sewage Water Treatment Plant. The total contract price is RMB9,395,750 (including tax), and services include engineering approvals, cost consulting, tender and procurement consulting, and multiple specialized assessments. The project is scheduled to be completed, with final settlement, by 31 December 2029.

According to the announcement, Tianjin Infrastructure Consultant is an indirect wholly owned subsidiary of Tianjin Investment Group, the ultimate controlling company of Tianjin Capital Environmental Protection Group Company Limited. As the transaction constitutes a continuing connected transaction under Chapter 14A of the Listing Rules and one or more applicable percentage ratios exceed 0.1% but remain under 5%, it is subject to reporting and announcement requirements but is exempt from independent shareholders’ approval. Several directors with ties to Tianjin Investment Group abstained from voting on the related board resolutions. The agreement is expected to enhance communication efficiency and cost management, ensuring the project’s timely completion while maintaining quality and budget control.
