SF HOLDING (06936) Proposes to Adopt 2025 Employee Stock Ownership Plan (A-Shares)

SF HOLDING (06936) announced that the board of directors resolved at a meeting held on August 28, 2025, to recommend the adoption of the 2025 Employee Stock Ownership Plan, subject to approval and adoption by ordinary resolution of shareholders at the 2025 first extraordinary general meeting.

The 2025 Employee Stock Ownership Plan was proposed by the company's Chairman Mr. Wang Wei, who has committed to donate certain A-shares held through the company's controlling shareholder Mingde Holdings as the source of shares for the 2025 Employee Stock Ownership Plan.

The purpose of the 2025 Employee Stock Ownership Plan is to further establish an innovative long-term incentive mechanism for the company's core team shareholding, effectively motivate the entrepreneurial spirit of core talents, achieve long-term value binding and mutual growth between the company and core talents, and realize the company's long-term development and governance in the future.

The company believes that through establishing a partnership mechanism of "shared benefits and shared risks," the 2025 Employee Stock Ownership Plan will effectively promote and facilitate the transformation of the company's "managers" into "partners," unite a group of core talents with shared values, promote the company's long-term stable development, and align the interests of core talents with the company and all shareholders.
