Bolt Innovation Limited (the “Issuer”), a company incorporated in the British Virgin Islands, has announced the application for the listing of HK$4,650,000,000 zero coupon guaranteed convertible bonds due 2033 (stock code: 40077) on The Stock Exchange of Hong Kong Limited. The bonds are unconditionally and irrevocably guaranteed by J&T Global Express Limited (stock code: 1519), a company incorporated in the Cayman Islands with limited liability.

The offering circular for the bonds is dated February 2, 2026. According to the announcement, effective listing and permission to deal in the bonds on the Hong Kong Stock Exchange are expected on February 6, 2026. Morgan Stanley, BofA Securities, and J.P. Morgan are acting as the Joint Global Coordinators, Joint Lead Managers, and Joint Bookrunners for the offering.

As disclosed in the announcement dated February 5, 2026, the sole director of the Issuer is Mr. Say Keong Tey. The board of directors of J&T Global Express Limited comprises one executive director, three non-executive directors, and three independent non-executive directors.
