Beijing Capital International Airport Company Limited (the “Company”) released an announcement regarding its new Aviation Security Services Framework Agreement (“the Agreement”) with Beijing Capital Airport Aviation Security Co., Ltd. (“Aviation Security Company”), a wholly owned subsidiary of the Company’s controlling shareholder, Capital Airports Holdings Co., Ltd. (“Parent Company”). The existing arrangement under the Former Aviation Security Services Framework Agreement is set to expire on 31 December 2025. This new Agreement will cover the period from 1 January 2026 to 31 December 2028.
According to the announcement, Aviation Security Company will continue to provide security inspection services, safeguarding services, security equipment maintenance and repair, and other related aviation security support within designated areas at Beijing Capital Airport. The highest applicable percentage ratio for these continuing connected transactions exceeds 5%, making them subject to reporting, annual review, announcement, and independent shareholders’ approval requirements under Chapter 14A of the Listing Rules.
The Company intends to set annual caps of RMB830 million, RMB850 million, and RMB870 million for the years ending 31 December 2026, 2027, and 2028, respectively, taking into account historical transaction amounts, anticipated growth in airline traffic, and possible operational adjustments. Service fees will be primarily based on labor costs and other operating expenses, with payments to be settled monthly or quarterly.
A circular containing further details, along with the views of an Independent Board Committee and an Independent Financial Adviser, is expected to be dispatched to shareholders on or before 5 December 2025. An extraordinary general meeting will be convened to seek approval from independent shareholders for the Agreement. The Directors believe the arrangement ensures continued security operations at Beijing Capital Airport, reflecting the specialized capability of Aviation Security Company in complying with the Civil Aviation Administration of China’s requirements for dedicated security inspection services.
