BeijingWest Industries International Limited (Stock Code: 2339) released a circular referencing two continuing connected transactions with its controlling shareholder BWI Group: a Mutual Technical Services Agreement and a Parts and Components Supply Agreement. Both agreements are set to run for three financial years ending on 31 December 2028.
Under the Mutual Technical Services Agreement, BWI Group would provide engineering and manufacturing-related administrative services to BeijingWest Industries International Limited and its subsidiaries, and vice versa. Proposed annual caps for the services received by the company are HK$138.8 million, HK$166.6 million, and HK$199.9 million from 2026 to 2028, while the caps for services provided to BWI Group are HK$195.9 million, HK$235.1 million, and HK$282.1 million for the same periods.
Under the Parts and Components Supply Agreement, the group would supply auto parts, including suspension and brake products, to BWI Group. Annual caps are set at HK$200.4 million, HK$220.4 million, and HK$242.5 million, respectively, from 2026 to 2028.
The company has scheduled an Extraordinary General Meeting on 19 December 2025 at 11:00 a.m., to be held at Two Pacific Place, Queensway, Admiralty, Hong Kong. Shareholders will consider and vote on the proposed transactions and their annual caps. BWI Group and its associates will abstain from voting.
