智通财经APP讯，雅各臣科研制药(02633)与健倍苗苗(02161)发布联合公告，于2024年11月11日，Po Chai Herbal及PCHT(作为卖方)与欧化药业(作为买方)订立买卖协议，Po Chai Herbal及PCHT有条件同意分别出售5.65万股及4.4万股销售股份，而欧化药业有条件同意收购有关销售股份，总代价为4623万港元(即每股销售股份460港元)。

于本联合公告日期，Po Chai Herbal及PCHT均为健倍苗苗的间接全资附属公司，而欧化药业为雅各臣的间接全资附属公司。

鉴于合作协议项下安排，目标公司李众胜堂(集团)有限公司应继续作为健倍苗苗的附属公司入账，而目标公司的财务业绩于完成后将继续于健倍苗苗集团的财务报表综合入账。目标公司于完成后将成为雅各臣的联营公司，而目标公司的财务业绩将不会于雅各臣集团的财务报表综合入账。健倍苗苗集团因完成而于目标公司的权益变动作为股权交易入账，不会导致在健倍苗苗集团的综合损益表确认任何收益或亏损。

公告称，该许可安排为欧化药业带来未使用工厂空间的租金收入，亦为目标公司提供合适制造场地。搬迁目标公司现有符合药品生产质量管理规范的设施成本高昂及费时，故该等交易让目标公司在毋须中断营运的情况下继续营运，亦避免搬迁开支。

预期该等交易的所得款项净额将约为4600万港元，并预计将用作健倍苗苗集团的一般营运资金。
