财中社12月24日电建发国际集团（01908）发布公告，宣布其全资附属公司建发建管与控股股东建发房产签订重续框架协议，协议有效期为2025年1月1日至2027年12月31日。该协议将继续允许建发建管向建发房产及其附属公司提供委托建设管理服务，涵盖各类建设项目及房地产开发项目。
根据公告，建发建管收取的委托建设管理服务费用包括：工程代建管理费不低于项目直接开发成本的3%，以及运营代建管理费不低于项目销售总额的5%。截至2024年12月31日止的三年内，建发建管根据该协议的年度上限均为1亿元。
此次重续框架协议的签订有助于提升建发建管的业务规模和市场知名度，董事会表示该协议的条款符合正常商业标准，符合公司及股东的整体利益。由于交易的年度上限适用的百分比率超出0.1%但低于5%，因此该交易无需独立股东批准。
