智通财经APP讯，连连数字(02598)发布公告，于2024年12月25日，本公司与买方及目标公司连通(杭州)技术服务有限公司订立协议。根据协议，买方Amex TRS同意向本公司购买总注册资本人民币11.55亿元，占紧随增资完成后目标公司股权的14.27%，对价为人民币15.69亿元，及买方AEMD同意向本公司购买总注册资本人民币2356.37万元，占紧随增资完成后目标公司股权的0.29%，对价为人民币3202.93万元。
根据协议，目标公司拟在进行出售事项的同时，增加注册资本人民币 23.3亿元，将总注册资本增至人民币80.9亿元。Amex TRS及 AEMD各自同意以对价人民币31.04亿元及人民币6334.69万元，分别认购增加的注册资本人民币22.84亿元及人民币4660.38万元。
紧随出售事项及增资完成后，目标公司将由Amex TRS、本公司及AEMD分别持有80.72%、17.63%及1.65%。
据悉，目标公司主要从事提供银行卡结算及清算服务。截至协议订立日期及紧接出售事项及增资交割前，目标公司分别由Amex TRS、本公司及AEMD拥有53.68%、45.22%及1.10%。
考虑到本公司的长期发展及资源配置，董事会相信，出售事项可令本公司实现投资回报并重新分配资源来发展主营业务。
