格隆汇12月30日丨朗华国际集团(08026.HK)公告，于2024年12月30日，公司与卖家Abundant Victory Group Limited订立该协议，据此，卖家有条件同意出售而公司有条件同意收购出售股份，占目标公司香港乐图控股有限公司已发行股本的51%，最高总代价535.9万港元将透过配发及发行代价股份支付。
于完成后，目标公司将成为公司的非全资附属公司，而目标集团的财务资料将并入集团财务报表内。
收购事项为集团扩大其业务网络及客户基础、加强其现有业务的宝贵机会，并进一步使集团能够在不对集团现金流量造成不利影响的情况下，增加收益来源及更有效动用其资源。
经考虑上述原因，董事认为收购事项与集团的整体业务策略一致。集团将继续寻求业务机会以及与各行业层面的其他资讯科技专业人士及专家的合作机会，进一步加强集团的现有业务并扩大于不同行业的业务网络。
