叶氏化工集团拟售上海土地使用权 交易价6911万元
财中社1月17日电叶氏化工集团（00408）发布公告，宣布其间接全资附属公司紫荆花涂料与土地储备中心及委员会于2025年1月17日签署土地储备协议，出售位于中国上海市金山区的土地使用权，交易对价为6911万元（约合7434万港元）。协议中还包含了双方对腾空目标土地后修复工作的责任及费用分摊的补充协议。
根据上市规则，因该交易的适用百分比率超过5%但低于25%，故此交易构成公司的一项须予披露交易。董事会预计此次出售将产生未经审计的税前收益净额约为5421万元（约合5832万港元），该金额是通过从对价中扣除土地使用权账面值及估计交易成本后得出。出售所得款项将用于公司的一般运营资金。
此次出售的原因在于近年来中国房地产市场低迷，导致公司无法如预期利用目标土地进行业务扩展。董事会认为出售事项的条款公平合理，符合公司的整体利益，并将改善公司的财务状况，提供未来业务发展的资金支持。
