格隆汇1月27日丨锦兴国际控股(02307.HK)公告，于2025年1月27日，买方锦丰(香港)制衣有限公司(公司间接全资附属公司)、该等卖方及目标公司Korea Textile & Dyeing Support Joint Stock Company订立买卖协议，据此：(i)该等卖方有条件同意出售，而买方有条件同意以现金代价434.79万美元购买待售股份(为目标公司全部已发行及缴足股份)；及(ii)买方同意结清640.76万美元债务。
于完成后，目标公司将成为公司的间接全资附属公司，且目标公司的财务业绩将合并入集团的财务报表。
目标公司主要从事纺织制品生产业务。其资产包括一块位于仁泽六工业区的地块，总建筑面积为27,253平方米，其包括一间染厂和两间织厂。
目标公司是一间完善的生产及贸易公司，在越南拥有现有生产基地，配备即时可得的资源，包括工厂设施、机器和劳动力。现有可用的生产基地可即时提升集团纺织生产的产能，而毋须作大量资金投入。于完成后，目标公司的工厂营运将为集团在东南亚的现有营运及未来业务发展带来协同效应并改善效率。收购事项亦符合集团的业务策略，特别是在东南亚建设自营综合纺织及成衣生产基地。
