建发国际集团签署新协议开发莆田土地 总价5.85亿元
财中社1月27日电建发国际集团（01908）发布公告，宣布与莆田市信华及天津尚豪签署新合作协议，共同开发位于莆田市的土地。该土地的总代价为5.85亿元，预计将用于建设住宅及商业项目。根据新合作协议，莆田兆成丰将持有合营企业27%的股权，莆田联欣泰34%，莆田市信华19.28%，天津尚豪13.72%，莆田市筑圆6%。莆田兆成丰在合营企业的资本承诺约为1.61亿元，而厦门兆澄扬的资本承诺为1.25亿元。
公告中提到，合营企业的注册资本为5.85亿元，福州汇成佰悦和莆田市筑圆将分别认缴94%和6%的股份。合营企业将不被视为公司的间接附属公司，其财务业绩将不纳入公司的财务报表。董事会认为，此项合作将提高土地开发的效率，降低风险，符合公司及股东的整体利益。根据上市规则，新合作协议的交易构成公司的关联交易，但由于合并交易的适用百分比率低于5%，因此无需独立股东批准。
