智通财经APP讯，泛海集团(00129)及汇汉控股(00214)联合公布，于2025年1月23日及2025年1月24日，卖方泛海国际附属Miracle Point Ventures Limited订立买卖协议，据此，其已同意透过出售销售股份而出售其于已出售投资股份中的所有权益，总代价为2137.14万美元(相当于约1.67亿港元)。
出售事项后，卖方将不再拥有已出售投资股份的任何权益。
据悉，于2025年1月23日，卖方与买方一Diligent Shine Inc.订立买卖协议一，据此，卖方同意出售且买方一同意购买第一批销售股份，相当于特殊目的公司Z Babylon AS Investments Limited股份约49.1% 及第一批投资股份的实际经济权益(按透视基准计算)。
于2025年1月24日，卖方与买方二Brian Vision Inc.订立买卖协议二，据此，卖方同意出售且买方二同意购买第二批销售股份，相当于特殊目的公司股份约49.1% 及第二批投资股份的实际经济权益(按透视基准计算)。
公告称，出售事项将为汇汉集团及泛海国际集团提供变现其于已出售投资股份投资的机会， 并可就其他企业用途重新分配资源。
应汇汉及泛海国际要求，汇汉股份及泛海国际股份已自2025年1月24日上午9时02分起于联交所暂停买卖，以待刊发本联合公告。汇汉及泛海国际已分别申请于2025年1月27日上午9时正起恢复汇汉股份及泛海国际股份于联交所买卖。
