新巨丰收购纷美包装进展：景丰控股已就9.36亿股纷美包装股份收到本次交易项下要约的有效接纳
财中社2月5日电新巨丰（301296）发布公告，截至2025年2月4日16:00，景丰控股作为要约人，已经就9.36亿股纷美包装股份收到本次交易项下要约的有效接纳，约占纷美包装已发行股份的66.55%，该等股份纳入计算后，景丰控股及其一致行动人持有的纷美包装股份数量为13.14亿股，约占纷美包装已发行股份的93.35%。除非要约人根据香港证券及期货事务监察委员会《公司收购、合并及股份回购守则》的规定修改或延长要约，要约将维持可供接纳至2025年2月18日16:00。
要约在各方面成为无条件后，结合纷美包装业务的国际性质及近期的市场环境，要约人认为保持纷美包装的上市地位有利于加强纷美包装业务的国际形象， 同时为纷美包装保留吸引商业机会和投资的渠道，符合公司及股东的整体利益。 因此，要约人计划于要约截止后维持纷美包装在香港联交所的上市地位，且将不行使强制收购权力。要约人将采取适当措施，确保纷美包装在要约截止后尽快拥有足够的公众持股数量，并将在适当情况下根据香港联交所上市规则作出进一步公告。
2024年前三季度，新巨丰实现收入12.49亿元，归母净利润1.25亿元。
