智通财经APP讯，恒瑞医药(600276.SH)发布公告，公司与Merck KGaA,Darmstadt,Germany公司(以下简称“Merck KGaA”)达成协议，将SHR7280口服GnRH受体拮抗剂项目有偿许可给Merck KGaA。
此次交易财务条款包括：1.首付款Merck KGaA将向恒瑞支付1500万欧元的首付款。2.里程碑付款产品在获得中国药监局批准后，恒瑞有资格获得一定的里程碑付款。3.销售提成Merck KGaA将向恒瑞支付达到实际年净销售额两位数的销售提成。
公告称，Merck KGaA是全球包括中国市场在辅助生殖领域市场占比最大的公司，本协议的签署有助于快速推进SHR7280产品在中国市场的商业化进程，且有机会同步拓宽产品的海外市场，为全球患者提供优质的治疗选择。公司坚持自主研发与开放合作并重，在内生发展的基础上加强国际合作，实现研发成果的快速转化，借助国际领先的合作伙伴覆盖海内外市场，实现产品价值最大化，让公司创新产品服务全球患者。
