智通财经APP讯，中国南方航空股份(01055)发布公告，2025年4月22日，公司收到公司控股股东中国南方航空集团有限公司(南航集团)出具的《关于自愿不减持中国南方航空股份有限公司股份的承诺函》，具体如下：
南航集团及其全资子公司南龙控股有限公司和航信(香港)有限公司(统称为“南航集团及其一致行动人”)作为公司控股股东及其一致行动人，长期看好中国航空业，基于对公司未来发展前景的信心及对公司内在投资价值的认可，除严格履行已就再融资作出的股份限售承诺外，自承诺函出具之日起18个月内，将不以任何方式减持所持有的公司无限售条件流通股股份(包括因公司资本公积转增股本、派送股票红利、配股、增发等事项取得的新增股份)。
截至本公告日期，南航集团及其一致行动人合计持有公司66.52%的股份，公司董事会认为，南航集团及其一致行动人不减持公司股份有利于进一步促进公司持续、稳定、健康发展，有利于维护全体股东特别是中小投资者的利益。董事会将督促南航集团及其一致行动人严格遵守上述承诺，并按照《公司法》《证券法》以及中国证监会、上海证券交易所相关法律法规、规范性文件的规定，及时履行相关信息披露义务。
