智通财经APP讯，迪生创建(00113)及要约人Bestcity Assets Limited联合公布，于2025年4月23日，要约人请董事局向计划股东提出该建议，以根据公司法第九十九条透过安排计划将公司私有化。该计划将涉及注销计划股份、以现金向计划股东支付每股计划股份的注销价(作为代价)，以及撤销公司股份在联交所的上市地位。公司已向联交所申请自2025年4月30日上午九时正起恢复公司股份于联交所买卖。
待该等条件获达成或豁免(如适用)以及该计划生效后，计划股份将全部被注销，而计划股东将有权从要约人收取每股被注销的计划股份现金7.2港元，较股份于最后交易日在联交所的收市价每股港币4.78元有溢价约50.63%，要约人根据该建议应该支付的现金代价最高约为港币10.986亿元。
截至公告日期，要约人是 DIHPTC 全资拥有的附属公司，而 DIHPTC 是两项信托基金的受托人之一，由潘廸生先生全资拥有。要约人的主要业务是投资控股。潘廸生先生是要约人的唯一董事。
