5月20日，东原仁知服务（02352）发布公告，指出根据湖南金典收购协议，公司子公司重庆东原行使其权利，收购张先生持有的湖南金典20%股权。
公告提到，湖南金典截至2024年12月31日止三年期间的总收益及净利润累计增长分别为16.1%和-86.4%，与履约担保的差额分别为3.9%和106.4%。此外，湖南金典的总收益（扣除税项）为1.94亿元，净利润为1350万元，分别与履约担保的差额为240万元和680万元。
由于四川东蓝及张先生未能履行履约担保，重庆东原有权向张先生索赔，赔偿金额为1300万元。根据协议，张先生需将其在湖南金典的20%股权以1元的价格转让给重庆东原。
此交易预计将于2025年7月完成，完成后湖南金典将成为公司的间接全资附属公司。由于交易涉及关联人士，相关规定获得豁免。
