日前，上交所官网显示，中信证券及其四位保代因上市公司再融资项目被上交所监管警示。下面，运营商财经网将对其具体情况进行梳理。

据上交所发布的监管措施决定书显示，中信证券在上交所相关上市公司再融资项目申请过程中，出具了相关项目适用再融资分类审核机制的核查意见。“再融资分类审核机制”‌具体来说，是对于最近连续两个信息披露工作考评期评价结果为A的上市公司，其再融资申请将获得快速审核。

但是经查明，中信证券最近一年因首发上市业务受到过其他证交所纪律处分，根据相关规则，不得适用再融资分类审核机制。中信证券未及时向上交所报告上述情况，出具的核查意见与实际情况不符。因此，中信证券及公司的四位保荐代表人李宁、吴鹏、黄艺彬、李婉璐均被上交所予以监管警示的决定。

上文中提及“中信证券最近一年因首发上市业务受到过其他证交所纪律处分”，相关情况可追溯到2024年11月，当时中信证券因皓吉达IPO撤否项目中存在违规行为被深交所采取书面警示的监管措施。在该IPO项目中其具体违规行为包括：对发行人实际控制人认定和控制权稳定性的核查程序执行不到位；未督促发行人准确、完整披露控股股东的重大股权转让情况。
