智通财经APP讯，希教国际控股(01765)公布，于2025年6月12日，该集团的全资附属成都鼎泰亨企业管理有限公司拟向海南爱福生科技有限公司出售樟树市育德教育管理有限公司100%股权及其附属实体权益，代价暂定约为人民币1.235亿元;及买方已有条件同意代表目标主体向卖方及其关联方偿还暂定付款金额约为人民币2.449亿元的股东债务及暂定金额约为人民币160万元的其他债务的还款，惟可根据股权转让协议的条款及条件进行调整，且担保人已同意就买方履行于股权转让协议项下的义务作出担保。
据悉，目标公司由该集团持有100%股权，主要从事教育管理及教育行业投资。
公告称，目标公司及其附属实体的现有场所及状况均不足以满足其业务营运及需要，故额外资本投资实属必要。经考虑当前市况及公司的目前情况，提供进一步资金以支持目标公司发展将对公司构成繁重负担。为确保目标公司及其附属公司的可持续增长，公司负责任地决定进行出售事项。 本次出售事项有利于公司回收部分资金以用于解决债务资金和运营资金问题。
