智通财经APP讯，味千(中国)(00538)发布公告，董事会获潘女士告知，有关ANMI Trust(以潘女士及潘女士的家族成员为全权受益人)的受托人变更已于2025年6月18日完成。
根据收购守则规则26.1，受托人变更可能触发就本公司股份提出强制性全面要约的规定。于2025年4月10日，执行人员已根据收购守则规则26.1附注6授出豁免，豁免新受托人因受托人变更而可能产生的就股份提出全面要约的责任。
于本公告日期，本公司拥有合共10.92亿股已发行股份，其中4.8亿股股份由 Favor Choice持有，占本公司已发行股本约43.99%。Favor Choice为由Anmi Holding全资拥有的投资控股工具，于受托人变更完成前，由担任ANMI Trust受托人之前受托人全资拥有。ANMI Trust乃由潘女士作为财产授予人、保护人及委任人而设立的全权家族信托，潘女士及潘女士的家族成员为其全权受益人。
