智通财经APP讯，福田股份(08196)公布，于2025年7月11日，该公司的间接全资附属深圳福城商业管理有限公司拟向深圳市远东商业管理有限公司注资1000万元。此外，深圳福城商业管理有限公司拟向李建兵、江小斌及蔡斌分别收购目标公司经扩大股权的7.5%、1.25%及1.25%，代价为分别为人民币150万元、25万元及25万元。
完成后，目标公司的注册资本将由人民币1000万元增加至人民币2000万元，深圳福城商业管理有限公司将持有目标公司60%股权。
于本公告日期，目标公司经营的主要项目为位于中国深圳市坪山区的悦阾SPACE购物中心。此综合购物中心的总面积约为60,000 平方米，为中国马銮社区首个大型商业综合体。
目标公司拟将注资所得款项净额用于现有商业项目的营运现金流及发展新商业项目。董事认为，订立投资协议为集团提供战略机遇，以使其业务分部多元化，并扩大其收入来源;及涉足中国商业综合体的投资、运营及物业管理的商机。
