智通财经APP讯，旷逸国际(01683)发布公告，于2025年11月11日，本公司与王超杰先生(卖方)订立谅解备忘录(谅解备忘录)，订约方同意就本公司可能有条件收购，而卖方可能有条件出售河南玖采供应链管理有限公司(目标公司)的51%权益(可能收购事项)进行磋商。待落实及由本公司(或由本公司提名的本公司全资附属公司)与卖方订立最终协议(最终协议)及完成可能收购事项后，目标公司的财务业绩将综合计入本公司的财务报表。
目标公司为卖方的独资企业，于2023年在中国河南省注册。目标公司是一家专注于生鲜产业供应链管理的新兴企业，“链通鲜享，智启未来”为核心理念。结合国家政策推动农副产业高质量发展，助力乡村振兴与农业现代化发展。推动“互联网+农业”的深度融合。
目标公司全面引入区块链和AI技术，为生鲜供应链带来革命性变革，以科技赋能、重塑水果产业的新未来。
董事会认为，可能收购事项符合本集团的投资策略并预期巩固本公司的现有业务。董事会认为，可能收购事项(倘落实)将即时为本公司带来新收入来源及可使本公司进一步加强其收入及客户基础，故符合本公司及其股东的整体利益。
