智通财经APP讯，中国宏桥(01378)发布公告，配售及认购协议载列的所有条件已获达成，且配售事项及认购事项已分别于2025年11月20日及2025年11月25日完成。
本公司已按配售价每股配售股份29.20港元成功将合共4亿股配售股份配售予六名或以上承配人，该等承配人及彼等的实益拥有人独立于宏桥控股或任何与其一致行动人士(定义见收购守则)且与宏桥控股或与其一致行动人士概无关连，且亦独立于本公司及其关连人士(定义见上市规则)。紧随配售事项及认购事项完成后，概无承配人成为主要股东(定义见上市规则)。
合共4亿股认购股份已按认购价每股认购股份29.20港元配发及发行予宏桥控股，占(i)于该公告日期本公司已发行股本95.24亿股股份的约4.20%;及(ii)于本公告日期经发行认购股份而扩大的本公司已发行股本99.24亿股股份的约4.03%。
