中访网数据 蓝思科技股份有限公司于近日发布公告，公司独立董事谢志明先生不幸因病逝世。谢志明先生在任期间，同时担任公司审计委员会主任委员及薪酬与考核委员会主任委员，恪尽职守，勤勉履职，为公司治理与发展作出了贡献。公司及董事会对此表示沉痛哀悼，并向其家人致以深切慰问。 此次变故导致公司董事会成员由7名减少至6名，其中独立董事与非独立董事各3名。虽然当前董事会人数仍符合《公司法》规定的最低要求，但已低于《公司章程》规定的人数。根据公告，公司将依据相关法律法规及《公司章程》的规定，尽快履行程序增补新的独立董事。在新的独立董事选举产生前，其职责将由现任独立董事万炜女士、刘岳先生及田宏先生共同代为履行。 蓝思科技在公告中强调，公司生产经营活动一切正常，未受此事件影响。谢志明先生未持有公司股票。
