　　格隆汇12月12日丨百富环球(00327.HK)公告，董事会近期知悉：(a)卖方AEagle Fintech Australia PTY Ltd(为于2024年在收购事项下向集团出售目标公司Pax Technology Australia PTY Ltd80%已发行股份卖方)为公司关连人士，故收购事项(集团据此收购目标公司100%拥有权，总代价为2056.56万澳元，乃按截至本公布日期及下文所述退款前厘定)构成公司关连交易；(b)于收购事项完成前，目标公司因此为卖方A联系人，故集团及目标公司(自2018年起担任集团产品分销商)交易构成公司关连交易。　　目标公司于收购事项前及现今仍主要从事在相关市场销售电子支付终端产品，及提供维护及安装服务。目标公司自2018年起一直为集团产品于相关市场分销商，于2019年正式获委任为集团非独家分销商，并于2020年根据分销协议成为其独家分销商。　　目标公司作为集团产品分销商的销售增长强劲。管理层股东接洽集团寻求对目标公司的投资，以助力目标公司进一步拓展其业务。　　董事会相信(诚如收购事项公布所载)并持续相信(基于目标公司的表现)，收购事项致使目标公司成为公司全资附属公司，将增强集团的全球销售网络，成为集团于相关市场营运的基石，并作为进一步增长的催化剂。
