新规则授权纳斯达克在以下情况下拒绝公司上市：公司业务所在地不配合美国监管机构审查；承销商、经纪商、律师或审计机构曾参与过有问题的交易；对管理层或主要股东的诚信存在疑虑。此举旨在应对近年来大量小型 IPO 上市后价格暴跌的问题。过去一年，纳斯达克一半的 IPO 募资额不足 1500 万美元，其中大多数股价在一年内下跌超 35%。
