智通财经APP讯，京城机电股份(00187)发布公告，公司于2025年12月15日召开第十一届董事会第十六次临时会议，审议通过了《选举公司第十一届董事会董事长并变更香港授权代表的议案》，同意选举公司非执行董事李忠波先生为公司第十一届董事会董事长，任期自2025年12月15日起至公司2025年年度股东周年大会止。李忠波先生作为非执行董事已与公司签订服务合约。董事长及非执行董事不在公司领取薪酬。

同时，根据《中华人民共和国公司法》和《公司章程》的规定，公司法定代表人将相应变更为李忠波先生，公司将按照相关规定及时办理工商登记变更手续。

公司董事会亦已委任李忠波先生为根据《香港联合交易所有限公司证券上市规则》第3.05条所规定的公司授权代表。由于董事会已选举产生李忠波先生为新任董事长，公司执行董事张继恒先生因任期届满，不再担任公司的授权代表。

另外，公司亦于临时会议通过了《变更公司第十一届董事会各专业委员会召集人、委员的议案》，并同意推选李忠波先生担任董事会战略委员会主席及薪酬与考核委员会委员，任期自2025年12月15日至公司2025年年度股东周年大会止。由于董事会已选举产生李忠波先生为新任董事长，张继恒先生因任期届满，不再担任董事会战略委员会主席及薪酬与考核委员会委员。
