ChainCatcher 消息，Yzi Labs 投资伙伴 Alex Odagiu 近日致信 CEA Industries 董事会，指责其推迟召开年度股东大会的行为极度鲁莽，可能导致公司面临 Nasdaq 退市风险。
信中指出，距离上一次股东大会已超过 400 天。董事会通过将财年结算日更改至 4 月 30 日的“会计手段”，试图利用规则漏洞将会议间隔延长至 16 个月。Alex Odagiu 表示，董事会此举是为了逃避投票，并在去年 12 月利用“滑雪度假”的借口掩盖其通过“毒丸计划”和修改章程来阻碍股东民主的行为。
信中强调，尽管董事会试图从技术层面合规，但其恶意操纵可能触发 Nasdaq 的撤牌裁量权。Yzi Labs 要求董事会立即公布 2025 年年度股东大会日期，停止为保住职位而损害公司上市地位的行为。
