3月10日，博雷顿（01333）发布公告，宣布与GEOCENTRIC INTERACTION MINING COMPANY LIMITED签订投资框架协议，拟通过“增资扩股+股权转让”的方式，获取目标公司35%的股权。根据协议，目标公司在本次交易前的初步估值为5880万元，收购将分为两个阶段进行。
第一阶段中，博雷顿将向目标公司增资1120万元，以取得目标公司16%的股权，完成增资后，目标公司的整体价值将为7000万元。第二阶段，博雷顿将受让目标公司其他股东持有的19%股权，股权转让款总额为1330万元。最终的交易代价将根据尽职调查及估值结果进一步磋商确定。
目标公司于塞拉利昂注册成立，主要从事金矿的勘探与开发，核心资产为位于塞拉利昂境内的金矿采矿权。根据现有地质报告，该矿区潜在黄金资源量可观，具备较高的开发价值。
此次投资需满足多个条件，包括博雷顿完成境外投资备案及目标公司获得塞拉利昂政府的必要批准等。董事会认为，此次投资将为公司带来矿区核心资产，同时推动公司的无人驾驶技术和光储一体化方案的国际化发展，有望为股东创造长期价值。
