智通财经APP讯，猫屎咖啡控股(01869)发布公告，于2026年6月16日，本公司与配售代理订立配售协议，据此，本公司已有条件同意透过配售代理按尽力基准以配售价每股配售股份0.076港元向不少于六名承配人配售最多2.82亿股配售股份，该等承配人为独立于本公司及其关连人士的第三方个人、企业、机构投资者或其他专业投资者。配售股份将根据一般授权获配发及发行。

假设于本公告日期至配售事项完成日期期间，本公司的已发行股本将无任何变动，配售事项项下的最多2.82亿股配售股份相当于(i)本公告日期本公司已发行股本约20.0%;及(ii)经悉数配发及发行配售股份扩大后本公司已发行股本约16.7%。

配售价每股配售股份0.076港元相较(i)于配售协议订立日期在联交所所报的收市价每股0.091港元折让约16.5%;及(ii)于紧接配售协议订立日期前最后五个连续交易日在联交所所报的平均收市价每股0.0946港元折让约19.7%。

假设所有配售股份悉数配售，估计配售事项所得款项总额及所得款项净额(扣除配售佣金及其他相关开支以及专业费用后)分别将为2140万港元及约2090万港元。

本公司拟将配售事项所得款项净额用于(i)透过减少负债以改善本公司的财务状况及(ii)本集团的业务经营及一般营运资金。
