智通财经APP讯，南戈壁(01878)发布公告，其已向星月浩瀚国际贸易有限公司(“承让人”)发行总计 73,497,622 股普通股(“实物利息股份”)，占实物利息股份发行完成后已发行及流通在外的普通股数目约 19.83%，以达成实物利息支付要求。可发行的实物利息股份数目乃基于截至发行日期 50 日成交量加权平均价每股普通股约 0.3272 加元(折合 0.2313 美元)厘定。
实物利息股份乃根据转让协议而发行予承让人。根据转让协议，JD Zhixing Fund L.P.已将收取已转让实物利息的权利转让予承让人。已转让实物利息 200 万美元尚未清偿，且根据可换股债券及若干相关递延协议的条款，承让人可酌情要求本公司透过发行普通股清偿余下已转让实物利息，发行数额等于余下已转让实物利息除以普通股于截至承让人作出有关要求日期之 50 日成交量加权平均价。
