智通财经APP讯，云智汇科技(01037)及要约人Foxconn (Far East) Limited联合公布，于2026年7月27日，要约人拟向FSK及FDG Fund收购约2.39亿股公司股份，相当于本公告日期已发行股份约33.85%，总代价为现金约1.52亿港元，相当于每股销售股份约0.6374港元。
紧随股份购买协议完成后，要约人将直接持有合共约2.86亿股股份，相当于公告日期已发行股份总数约40.46%，而FSK及FDG Fund各自将不再持有任何股份。待股份购买协议完成后及在其规限下，要约人将须根据收购守则规则26.1提出股份要约。要约人亦将根据收购守则规则13向购股权持有人提出适当要约。每股要约股份现金0.6374港元，较股份于最后交易日在联交所所报的收市价每股0.41港元溢价约55.46%。
据悉，要约人为鸿海的直接全资附属公司。其主要从事业务为投资控股。
