Sandmartin Intl Cuts Outstanding Shares by 90% Following 10-for-1 Consolidation

Sandmartin International Holdings Limited reported a sharp contraction in its share base for March 2026 after completing a capital reorganisation that consolidated every ten existing shares into one.

• Issued Share Count: Outstanding ordinary shares fell from 1.23 billion to 123.04 million, a reduction of 1.11 billion shares, fully consistent with the approved 10-for-1 consolidation executed on 25 March 2026.

• Authorised Capital: The company’s authorised share capital remained unchanged at 10 billion shares with an aggregate value of HKD 1.00 billion, reflecting a par value of HKD 0.10 per share after the reorganisation.

• Capital Structure Adjustment: Post-consolidation, the paid-up capital on each consolidated share was reduced by HKD 0.90, bringing the par value of each issued share back to HKD 0.10.

• Public Float: Sandmartin Intl confirmed compliance with the Hong Kong Stock Exchange’s minimum 25% public-float requirement as at end-March.

• No Other Equity Movements: The company reported no share options, warrants, convertibles, treasury shares, or other equity instruments outstanding or transacted during the month.

The capital reorganisation, approved at the 23 March 2026 general meeting, streamlines Sandmartin Intl’s share structure without affecting its authorised capital, while preserving shareholder liquidity within regulatory thresholds.
