五谷磨房（01837）启动股份回购计划 最高回购3,600万股

五谷磨房食品国际控股有限公司（01837）10月19日发布自愿性公告称，董事会已决议并批准实施公开市场股份回购计划。该计划依据公司股东于2026年5月22日股东周年大会上通过的一般性回购授权进行，授权上限为截至决议案获通过当日已发行普通股（不包括库藏股）10%。

公司拟在2026年10月20日至2027年1月31日（含首尾两日）期间，累计回购不超过36,000,000股股份。所有已回购股份将予以注销。

五谷磨房表示，回购所需资金将全部由公司根据章程及适用法律可动用的内部财务资源拨付。董事会确认，在完成股份回购后的12个月内，公司将维持偿债能力，并能够在日常经营过程中按期偿还到期债务。

公告引述董事会观点称，当前股价未能充分反映公司价值及未来前景，股份回购在市场条件允许下有望提升每股资产净值及／或每股盈利。

公司同时强调，回购将遵守香港联合交易所有限公司证券上市规则、收购、合并及股份回购守则及相关法律法规，不会导致公众持股比例低于监管最低要求，也不会触发强制性全面要约义务。

公司提醒股东及潜在投资者，股份回购的实施受市场状况及监管规定限制，回购的时间、数量及价格均不保证。投资者买卖公司股份时需审慎行事。
