Sunshine Oilsands Ltd. (Sunshine Oil) has adopted a comprehensive revision to its Articles of Incorporation and By-Laws following a special shareholders’ resolution passed on 21 June 2026 (Calgary time). Key changes are summarised below.

Share Capital Structure • Authorised Capital: An unlimited number of shares across eight classes. • Common Voting Shares: Class A and Class B carry full voting rights, equal dividend entitlement, and equal participation on dissolution. • Common Non-Voting Shares: Classes C, D, E and F have identical economic rights to the voting shares but no voting rights. • Preferred Non-Voting Shares: Classes G and H are non-cumulative, redeemable and retractable. Holders receive dividends at a prescribed rate before junior classes and rank ahead of common shares on liquidation, up to paid-in capital plus any declared but unpaid dividends.

Governance Enhancements • Board Composition: Minimum three directors, with at least two not serving as officers or employees. The board may appoint additional directors between annual meetings up to one-third of the incumbent board size. • Super-Majority Thresholds: Any action requiring a “special resolution” now demands approval by at least 75 % of votes cast. • Meeting Flexibility: Shareholder meetings may be held outside Alberta or entirely via electronic means. Hybrid and fully virtual formats are formally recognised, and electronic voting is permitted. • Quorum: – Board meetings – simple majority of directors. – Shareholder meetings – at least two persons representing no less than 5 % of voting shares. • Conflict of Interest & Indemnification: Directors must disclose material interests; indemnification is available if actions are taken in good faith and in the company’s best interests. • Borrowing Authority (By-Law No. 2): The board can borrow funds, issue or pledge debt securities, grant guarantees, and create security interests over corporate assets without shareholder approval, subject to statutory limits.

Shareholder Rights & Administration • Shareholders holding ≥5 % of voting rights may requisition a meeting. • Proxies: Members may appoint multiple proxies; instruments may be submitted electronically. • Inspection: The Hong Kong Branch Register remains open for inspection, with provisions for temporary closure (up to 30 days annually) in line with Hong Kong Companies Ordinance. • Notices: Delivery methods now include electronic communications, publication on the company or exchange website, and traditional mail, with detailed timelines for deemed receipt.

Implementation The revised Articles and By-Laws take effect from the date of enactment. All previous versions are repealed, without affecting existing contracts or rights.
