Pacific Legend Group Shareholders Unanimously Back Capital Expansion and Subscription Mandate

Hong Kong – 18 September 2026 – Pacific Legend Group Limited held an extraordinary general meeting (EGM) today at which shareholders gave full endorsement to two key ordinary resolutions, signalling strong support for the company’s latest financing plans.

1. Authorised Share Capital Tripled • Shareholders voted 100% in favour (368.74 million votes) of raising the company’s authorised share capital to HK$300.00 million, up from HK$100.00 million. • The increase is effected by creating an additional 2.00 billion shares of HK$0.10 par value, lifting the total authorised share count from 1.00 billion to 3.00 billion.

2. Subscription Agreement and Specific Mandate Approved • An identical 368.74 million votes (100%) confirmed, ratified and approved the Subscription Agreement, the related transactions and the grant of a Specific Mandate empowering directors to allot and issue the subscription shares. • The board is authorised to execute all necessary actions to complete the subscription.

Additional Meeting Facts • Total shares in issue as of the meeting date: 886.73 million. • No shareholder was required to abstain, and no votes were cast against either resolution. • Union Registrars Limited acted as the independent scrutineer. • All directors participated in the EGM in person or via electronic means.

The decisive outcome secures management’s mandate to expand Pacific Legend Group’s capital base and proceed with the planned subscription, providing greater financial flexibility for future corporate initiatives.
