NAN NAN RES Proposes Re-Appointment of Forvis Mazars as Auditor; FY27 Audit Fee Estimated at HK$1.35-1.65 Million

Nan Nan Resources Enterprise Limited (NAN NAN RES) has issued a supplemental announcement to its AGM circular dated 24 July 2026, outlining plans to re-appoint Forvis Mazars CPA Limited as external auditor.

Forvis Mazars, which will retire at the forthcoming annual general meeting (AGM), is eligible and has offered itself for re-appointment. The board, acting on the audit committee’s recommendation, will table an ordinary resolution at the AGM to re-engage the firm until the close of the next AGM and to empower the board to fix the auditor’s remuneration for the financial year ending 31 March 2027.

The estimated audit fee for FY27 is set in the range of HK$1.35 million to HK$1.65 million, compared with HK$1.50 million for FY26. Management stated that the range was negotiated on an arm’s-length basis, considering historical fees, prevailing market rates, scope and timing of work, team composition, and expected operating conditions. The estimate also assumes no material changes in the Group’s operations, accounting policies, business size, or regulatory environment, and anticipates timely cooperation from management during the audit process.

The board deems the proposed fee commensurate with the engagement’s scope and believes Forvis Mazars can conduct the FY27 audit efficiently and in the best interests of shareholders. Any material deviation from the stated assumptions will prompt further disclosure.

All other information in the original AGM Circular remains unchanged.
