Coolpad Lifts Issued Share Count by 19.9% Following 66.00 Million-Share Placement

Coolpad Group Limited reported a material change in its capital structure for August 2026, driven by a private placement completed on 10 August at HKD 0.53 per share. The transaction added 66.00 million new ordinary shares to the register, taking total issued share capital (excluding treasury shares) to 397.93 million shares, up 19.9% from 331.93 million a month earlier. Based on the placement price, the deal represents gross proceeds of roughly HKD 34.98 million.

Authorised capital remained unchanged at 2.00 billion shares with a par value of HKD 0.10 each, equivalent to HKD 200.00 million in registered share capital.

No share options were exercised during the month; outstanding options under the 2014 and 2025 schemes stood at 8.00 million and 13.20 million respectively, leaving 21.20 million options in total outstanding. The 2014 scheme expired in May 2024, while the 2025 plan—approved on 6 June 2025—remains active with capacity for further grants.

Coolpad confirmed that it held no treasury shares at end-August and that the public float continued to meet the Hong Kong Stock Exchange’s minimum 25% requirement.

The company affirmed that all regulatory conditions related to the August placement were satisfied and that no warrants, convertible securities or other share-issuance arrangements were outstanding during the month.
