Amasse Capital Ousts CEO Xie Lei for Alleged Fiduciary Breaches; Share Trading Halted Pending Probe

Amasse Capital Holdings Limited (the “Group”) has dismissed Mr. Xie Lei from his positions as Executive Director, Chief Executive Officer and subsidiary director, effective 5 September 2026. The removal was executed via a written notice dated 6 September 2026, signed by all other board members under Article 105(h) of the company’s Articles of Association, which permits termination with the written approval of at least three-quarters of serving directors.

According to the board, Mr. Xie’s dismissal stems from multiple alleged breaches of fiduciary duty: • Attempted freezing of several Group bank accounts without board authorization. • Execution of a lease agreement to establish a Beijing branch office without board approval and without submitting a business plan or financial statements. • Suspected non-compliant sale of equity in a Group subsidiary to Mr. Xie’s secretary. • Suspected misappropriation of Group funds involving Mr. Xie’s son, Xie Xudong.

The board states that these events are not expected to materially disrupt the Group’s operations. Nonetheless, an independent investigation committee will be formed and external consultants engaged to review the lease transaction, the equity disposal, the alleged fund misappropriation and any related internal-control deficiencies.

Given that complete details—such as the amount of funds allegedly misappropriated—have yet to be disclosed, the company requested a trading suspension in its shares on the Hong Kong Stock Exchange from 9:00 a.m. on 7 September 2026. Trading will remain halted until Amasse Capital issues a further announcement containing all pertinent information about the investigation.
