2026年2月6日，大地教育控股有限公司(「大地教育控股」，股份代号：8417)的间接全资附属公司大地教育集团与卖方订立协议，拟以530,000港元收购言艺教育有限公司(「目标公司」)的全部已发行股份。目标公司以「匯時」品牌在香港经营补习中心。收购完成后，目标公司将成为大地教育控股的全资附属，公司财务业绩将并入集团账目。

根据公告，交易代价分三期支付，包括签署合同时的按金159,000港元、完成时的265,000港元，以及履行完成后责任后的106,000港元。收购完成需满足多项先决条件，包括法律及财务尽职调查、清偿相关负债、续签租赁及就「匯時」更换校长和校监的教育局审批等。若未能在最后截止日期(2026年5月8日或另行协定)前达成条件，交易可能终止。
