KA SHUI INT'L AGM: 100% Adoption of FY25 Results, Director Retirements Prompt Committee Realignment

KA SHUI INT'L held its annual general meeting on 29 May 2026, with all resolutions gaining the necessary simple majority through poll voting.

• Financial Statements Adopted: The audited consolidated results for the year ended 31 December 2025 were approved with 610.26 million votes in favour, representing 100.00% support.

• Board Re-elections and Remuneration: – Executive Chairman and CEO Mr. Lee Yuen Fat was re-elected with 99.91% support (609.68 million votes). – Independent non-executive director (INED) Ir Dr. Lo Wai Kwok was re-elected with the same 99.91% approval. – Shareholders authorised the Board to set directors’ remuneration, passing the motion unanimously with 610.26 million votes for.

• Auditor Re-appointment: RSM Hong Kong was re-appointed as external auditor with 100.00% approval, and the Board was authorised to fix its fees.

• Share Mandates: – A mandate to issue up to 20% of issued share capital passed with 98.25% support (599.58 million votes). – A 10% share-repurchase mandate and a mandate to extend the issue mandate by the number of repurchased shares each received 100.00% and 98.25% support respectively.

Total share capital entitled to vote stood at 893.76 million shares. No treasury or repurchased shares were outstanding, and no shareholder was required to abstain. Computershare Hong Kong Investor Services acted as scrutineer.

Board and Committee Changes Effective After the AGM 1. Ir Chan Sin Wing retired as Executive Director to focus on duties as Chief Technology Officer. 2. Professor Sun Kai Lit retired as INED, relinquishing roles on the Audit Committee and as Chairman of both the Remuneration and Nomination Committees. 3. Ir Dr. Lo Wai Kwok was redesignated Chairman of the Remuneration and Nomination Committees while remaining on the Audit Committee.

Post-meeting, the Board comprises three executive directors (Mr. Lee Yuen Fat, Mr. Wong Wing Chuen and Ms. Chan So Wah) and three INEDs (Ir Dr. Lo Wai Kwok, Mr. Kong Kai Chuen, Frankie and Mr. Tang Koon Yiu, Thomas).

Both retiring directors confirmed no disagreement with the Board and no matters requiring shareholder attention.
